These Terms and Conditions (“Terms”) govern your access to and use of our website, products, and services, including the ServicePro platform (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that all access to and use of the Services under your account complies with applicable laws, regulations, and these Terms.

Prohibited uses include but are not limited to:

Attempting to gain unauthorized access to systems or data.
Distributing malware, spam, or other malicious content.
Reverse-engineering, copying, or reselling any part of the ServicePro platform.
Using the Services to infringe on the rights of others.

3. Accounts and Access

To use certain features of ServicePro, you may need to register for an account. You agree to provide accurate and complete information and to keep your login credentials secure. You are responsible for all activity under your account.

We reserve the right to suspend or terminate your account for any violation of these Terms or suspected misuse.

4. Intellectual Property

All content, materials, and software provided through the Services—including but not limited to trademarks, logos, graphics, and text—are owned or licensed by Workstream Solutions and are protected under U.S. and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use ServicePro for your business operations, subject to these Terms.

5. Subscriptions and Payments

If you purchase a subscription or paid service, you agree to pay all fees specified at the time of purchase. Subscription fees are billed in advance and are nonrefundable except as required by law or otherwise stated in a written agreement.

We may modify pricing or features with notice to users. Continued use after such notice constitutes acceptance of the new terms.

6. Third-Party Services

ServicePro may integrate or link to third-party tools or websites. Workstream Solutions is not responsible for the content, privacy practices, or performance of third-party services. Your use of those services is subject to their respective terms.

7. Limitation of Liability

To the maximum extent permitted by law, Workstream Solutions and its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Services.

Our total liability for any claim under these Terms shall not exceed the amount you paid to us for the Services during the 12 months preceding the claim.

8. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. Workstream Solutions does not guarantee that the Services will be uninterrupted, error-free, or free from harmful components.

9. Indemnification

You agree to defend, indemnify, and hold harmless Workstream Solutions, its affiliates, and their employees, officers, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination, all rights granted to you under these Terms will cease immediately.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed under the laws of the State of Indiana, without regard to its conflict of law principles.

Any dispute arising under these Terms shall first be attempted through informal resolution. If unresolved, disputes shall be brought before a state or federal court located in Marion County, Indiana.

12. Changes to These Terms

We may update these Terms periodically. The “Last Updated” date at the top will reflect the most recent changes. Your continued use of the Services constitutes acceptance of any revised Terms.
